These terms and conditions of purchase and delivery (”the terms”) apply to all purchases carried out via the website www.seezon.se (”the website”). If the buyer, according to the law in the country where the delivery is made, is to be considered a consumer, the agreement is regulated by the law in the same country, provided that the country is part of the European Economic Area (EEA). In other cases, the agreement is regulated according to Swedish law.

By entering into a purchase agreement via the website, an agreement is entered into with SBM Life Science AB, Reg. no. 559061-3724, Norra Vallgatan 90, 211 22 Malmö.

If a specific agreement has been entered into with SBM Life Science AB, that agreement applies instead of these terms to the extent otherwise stated in that agreement. Representatives of companies and other types of legal entities enter into agreements and accept these terms on behalf of their organization. The representative is thereby responsible for their authority to enter into agreements.

Purchases on the website are covered by these terms in the version that was applicable at the time when the purchase agreement was entered into.

Each party is responsible for the counterparty receiving correct information in connection with the order.

When an order has been placed, a confirmation is sent via email confirming that SBM Life Science AB will process the order. A binding agreement shall be considered entered into only when the buyer subsequently receives written confirmation from SBM Life Science AB that the order has been approved. Before approval, orders may be refused.

SBM Life Science AB has the right to refuse a purchase regardless of the reason. If a purchase is refused after payment has been made, the amount that has come to SBM Life Science AB will be refunded in the same way it was paid.

3. Information and prices

Upon purchase, the prices appearing at the time of the purchase on the website apply. All prices include applicable VAT. The prices do not include any payment and shipping fees, which are stated separately. We reserve the right for any printing errors and that individual products may sell out, be discontinued from the assortment, or temporarily be unavailable for order.

4. Guarantees

Any additional guarantees beyond what follows from law or these terms appear from the order confirmation and/or the product description.

5. Delivery and transfer of risk

If the goods are to be transported to the buyer and the latter is not to be considered a consumer, the risk for the goods passes when the goods are handed over to the carrier who has undertaken the transport of the goods. If the buyer is to be considered a consumer, the risk for the goods passes to the buyer when they, or someone they have hired to pick up the goods, has received the goods.

6. Right of withdrawal – applies only to consumers

If the buyer is a consumer, they have a right of withdrawal for 14 days according to law. The time is calculated from when the buyer, or someone they have hired to pick up the goods, has received the goods.

To utilize the right of withdrawal, the buyer needs to demonstrate that the right to withdraw has been invoked within this time period and that this has been notified in writing to SBM Life Science AB. SBM Life Science AB can be reached via the contact details appearing in point 2. Refund of the returned goods’ value occurs as soon as possible and at the latest 14 days from when the goods have been returned or the buyer shows that the goods have been returned. A return slip accompanies every shipment. From the refunded amount, a deduction is made corresponding to the cost for return shipping incurred by SBM Life Science AB. This also applies if the goods are returned to SBM Life Science AB after not having been picked up from the delivery point. The buyer also has the right to choose another shipping method at their own expense to return the goods. In such a case, no deduction for shipping costs occurs upon refund after SBM Life Science AB has received the goods in return.

Refund of the goods’ value occurs in the same way as the payment at the purchase, unless otherwise has been agreed. The deducted shipping cost is reported in the receipt that SBM Life Science AB sends to the buyer in connection with the refund.

7. Defects in goods

If a product is defective, it must be complained about as soon as possible. The complaint must state what is wrong with the product. If the product is not complained about within a reasonable time, the right to any compensation is lost. If the buyer is a consumer, a complaint is always to be considered as made within a reasonable time if it has been made within 2 months from when the buyer, or someone they have hired to pick up the goods, has received the goods.

A complaint can, if the buyer is a consumer, be made at the latest three years after the buyer, or someone they have hired to pick up the goods, has received the goods. A complaint can, if the buyer is not a consumer, be made at the latest two years after the buyer, or someone they have hired to pick up the goods, has received the goods.

In the event of a complaint, the product must be returned to SBM Life Science AB unless otherwise has been agreed. The return must be received by SBM Life Science AB as soon as possible after the defect in the product has been discovered. The complaining party is responsible for the goods being returned in an appropriate manner and that the goods are not damaged during the return transport.

In the event of a complaint, the buyer is obliged to show or make available a receipt, proof of purchase, or invoice to verify the purchase.

8. SBM Life Science AB’s obligations

SBM Life Science AB is responsible for financial damages only to the extent that the buyer has taken reasonable measures to limit their damage. SBM Life Science AB is also not responsible for damages to the extent the buyer has contributed to the damages.

SBM Life Science AB is not responsible for damages caused by unforeseen circumstances beyond its control, for example, but not limited to war, pandemic, natural disasters, accidents, or sabotage that could not reasonably have been foreseen (force majeure). If SBM Life Science AB, due to force majeure, is prevented from fulfilling its obligations, the buyer has the right to cancel the agreement in accordance with what follows from law.

To the extent not otherwise follows from mandatory law, SBM Life Science AB’s financial liability as a result of purchases covered by these terms is limited to 10 000 SEK per damage occurrence.

If the buyer is a consumer, SBM Life Science AB’s compensation does not in any case cover loss in business activities.

Indirect damages/consequential damages (such as e.g. loss of profit or loss of business opportunities) suffered by the buyer as a result of a defective or delayed product, SBM Life Science AB bears no responsibility for.

9. Dispute resolution

Disputes regarding purchases according to these terms are tried, to the extent not otherwise follows from mandatory law, at a general court with Malmö District Court as the first instance and according to Swedish procedural rules. A buyer who is a consumer also has the right to turn to the National Board for Consumer Disputes (Allmänna Reklamationsnämnden). 10. Personal data

SBM Life Science AB is the personal data controller for the processing of the personal data provided to the company during the purchase. Information on how SBM Life Science AB handles personal data is presented in connection with visiting the website.

11. Intellectual property rights

Through purchase according to these terms, ownership of any intellectual property assets does not transfer. Through purchase according to these terms, the buyer does not obtain the right to use or manage any intellectual property assets belonging to SBM Life Science AB.

When the buyer is not a consumer, a penalty of SEK 5,000,000, as well as interest according to law from the date of the unauthorized use, shall be paid for the use of intellectual property assets belonging to SBM Life Science AB that has occurred without SBM Life Science AB’s prior written consent. If the Buyer is a consumer, damages are paid instead. The fact that a penalty has been paid does not prevent SBM Life Science AB from claiming damages for damage not covered by the penalty.

12. Applicable law

To the extent not otherwise appears from these terms, other rules for the purchases according to these terms follow by law.

Agreements according to these terms are mainly regulated by the following laws.

3. The Distance Contracts and Off-Premises Contracts Act (2005:59)
4. The Contracts and Other Legal Acts in the Field of Property Law Act (1915:218)

Other laws may also be applicable where appropriate.
